These NanoStreet Referral Program Terms (“Referral Terms”) govern participation in the NanoStreet referral program (“Referral Program”) operated by NanoStreet, Inc. (“NanoStreet,” “we,” “us,” or “our”).
By participating in the Referral Program, sharing a NanoStreet referral link, or joining NanoStreet through a referral link, you agree to these Referral Terms and the Terms of Use and acknowledge the Privacy Policy. If these Referral Terms conflict with the Terms of Use regarding the Referral Program, these Referral Terms will control for that conflict.
1. Overview of the Referral Program
The Referral Program allows eligible NanoStreet waitlist members to invite other people to join the NanoStreet waitlist through a personal referral link or another referral method provided by NanoStreet.
Depending on the applicable offer and the number of Qualifying Referrals completed, participants may become eligible for benefits such as:
The availability, conditions, and timing of each reward are governed by these Referral Terms and the offer displayed when the participant takes part.
2. Eligibility
To participate as a referrer, you must:
NanoStreet may restrict or exclude employees, contractors, service providers, and persons closely connected with NanoStreet from earning Referral Program rewards where reasonably necessary to prevent conflicts of interest, unfair advantage, fraud, or abuse.
NanoStreet may also restrict participation in jurisdictions where offering the Referral Program could create additional legal, regulatory, tax, or operational requirements.
3. Qualifying Referrals
A “Qualifying Referral” occurs only when a referred person:
A referral may initially appear on a referral page as pending, recorded, or confirmed and may later be corrected or invalidated if NanoStreet identifies an error, duplication, ineligibility, fraud, or abuse.
Merely clicking a referral link does not constitute a Qualifying Referral.
4. Existing Waitlist Members
A person who was already on the NanoStreet waitlist before using a referral link will generally not count as a new Qualifying Referral.
Attempting to register the same individual through multiple email addresses, accounts, identities, or devices does not create additional Qualifying Referrals.
NanoStreet may consolidate duplicate records and attribute an eligible referral based on the information reasonably available in its systems. NanoStreet is not required to reassign an existing waitlist member to a later referrer.
5. No Self-Referrals or Artificial Referrals
Self-referrals are prohibited.
A self-referral includes, without limitation, attempting to refer yourself through:
Participants may not manufacture referrals primarily to obtain rewards.
NanoStreet may determine, acting reasonably and in good faith, whether referrals are genuine or are associated with self-referral, manipulation, fraud, abuse, or conduct inconsistent with the intended purpose of the Referral Program.
6. Prohibited Conduct
Participants must not:

7. Referral-Incentive Disclosure
A referrer may receive benefits from another person’s participation. Referrers must not conceal or misrepresent this fact.
When recommending NanoStreet, participants should clearly disclose that they may receive referral rewards. NanoStreet may provide suggested invite copy containing language such as:

Participants may personalize their message, but they must not remove or obscure a required referral disclosure where one is provided.
NanoStreet may also display a disclosure on the referred person’s signup page explaining that the inviter may receive referral rewards from the signup or subsequent activity.
8. Early Access
Where the Referral Program states that a participant will “get early access,” “unlock early access,” or receive a similar benefit, “Early Access” means eligibility for an opportunity to access a prerelease, beta, limited-release, or staged-release version of NanoStreet before broader public availability, if and when such access is offered.
Early Access:
Joining the waitlist, completing a referral milestone, or being placed on an Early Access list does not guarantee that NanoStreet will launch or that a participant will ultimately be able to use the app.
NanoStreet intends to administer Early Access rewards in good faith, but circumstances such as funding, product development, legal requirements, security issues, vendor limitations, or business discontinuation may prevent or delay launch or access.
9. One-Referral Early Access Benefit
Where the applicable offer states that one referral provides Early Access, the referrer and the referred friend will become eligible for Early Access once one Qualifying Referral has been confirmed.
If the referrer has already earned Early Access through another pathway, the referred friend will still become eligible for Early Access once the Qualifying Referral is confirmed, but the referrer will not receive duplicate or transferable Early Access rights.
Early Access has no cash value and may not be sold, assigned, or transferred.
10. Free Seat for Founding Members
WWhat it is
Members who refer 3 friends to the waitlist and subscribe to NanoStreet at launch receive one additional seat ("Free Seat") to give to a person of their choosing. The Free Seat provides full access to the same NanoStreet subscription features as the primary member's plan, on a separate login.
Eligibility
The Free Seat becomes available once (a) 3 referred friends have joined the waitlist, and (b) the referring member has an active paid NanoStreet subscription. Free trial periods do not count toward the 6-month Free Seat period.
Duration
The Free Seat is available for the first 6 months of the referring member's paid subscription. The 6-month period begins on the first day of the member's paid subscription, whether or not the Free Seat has been assigned. At the end of the 6-month period, the Free Seat expires and access ends.
Linked to your subscription
The Free Seat is tied to the referring member's subscription. The Free Seat is active only while the referring member's subscription is active. If the member's subscription is cancelled, lapses, or is suspended for any reason, access for the Free Seat ends at the same time. If the member resubscribes within the original 6-month period, the Free Seat is reactivated for the remainder of that period.
Assigning and reassigning
The Free Seat may be assigned to any individual aged 18 or older who does not already hold an active NanoStreet subscription. The Free Seat may be reassigned to a different person once during the 6-month period. NanoStreet may limit or refuse reassignment where it appears intended to circumvent these terms.
Separate accounts
The Free Seat holder receives their own login and their own account data, including watchlists and saved preferences. Account data is not shared between the primary member and the Free Seat holder. The primary member does not have access to the Free Seat holder's account, and the Free Seat holder does not have access to the primary member's account.
What happens at the end
When the 6-month period ends, the Free Seat holder may subscribe to NanoStreet at standard rates to retain access. NanoStreet will notify the Free Seat holder before their access ends. Free Seat holders are not automatically enrolled in a paid subscription and will not be charged unless they choose to subscribe.
Other terms
The Free Seat has no cash value and cannot be sold, transferred for payment, or exchanged. The Free Seat is limited to one per referring member. NanoStreet reserves the right to modify or discontinue the Free Seat benefit for future participants, and to revoke a Free Seat where these terms have been breached or where referral activity appears fraudulent, including self-referrals or referrals using duplicate or disposable accounts.

11. Founding Member Status
A participant who completes the applicable referral milestone will become eligible for “Founding Member” status once that milestone is confirmed.

NanoStreet may introduce, modify, replace, suspend, or discontinue prospective non-monetary features or benefits associated with the Founding Member status for reasonable product, operational, security, legal, or commercial reasons. Any material changes will be communicated through the website, app, email, or another reasonable method.
NanoStreet may remove the status or associated benefits if they were obtained through fraud, abuse, material misrepresentation, ineligibility, or a material violation of these Referral Terms or the Terms of Use.
12. Three-Referral Milestone
A participant completes the “Three-Referral Milestone” when NanoStreet confirms three Qualifying Referrals.
Completion of the Three-Referral Milestone will make the participant eligible for:
Completion of the Three-Referral Milestone alone does not activate the Lifetime Discount.
13. Lifetime Discount Activation Requirements
To receive the Lifetime Discount, all three Qualifying Referred Friends associated with the participant’s Three-Referral Milestone must each complete an Eligible Free-Trial Activation.
The Lifetime Discount will not become active unless and until:
NanoStreet may notify the referrer when the activation conditions have been completed, subject to privacy restrictions.
14. Eligible Free-Trial Activation
An “Eligible Free-Trial Activation” means the genuine activation of an eligible NanoStreet free trial by a Qualifying Referred Friend:

A referred person will not be disqualified merely because they schedule cancellation before the free trial ends or choose not to become a paying subscriber, provided that the free-trial activation was genuine and otherwise eligible.
NanoStreet will disclose the material free-trial terms, including trial length, billing consequences, and cancellation method, when the trial becomes available.
15. Activation Deadline
Each of the three Qualifying Referred Friends must complete an Eligible Free-Trial Activation within 180 days after NanoStreet sends notice to the qualifying referred friend that the NanoStreet app is generally available to download from at least one supported distribution platform.
NanoStreet may extend this period by providing notice.
NanoStreet will not ordinarily shorten an activation deadline after it has been communicated, except where reasonably necessary to:
Failure by one or more qualifying referred friends to activate within the applicable period means the Lifetime Discount will not be earned, even if the Three-Referral Milestone was completed.
16. Meaning of “30% Lifetime Discount”
“Lifetime” refers to the period during which:

The Lifetime Discount is a percentage discount, not a promise of a fixed subscription price.
17. Eligible Plans and Charges
Unless NanoStreet expressly states otherwise, the 30% Lifetime Discount applies only to recurring subscription fees for eligible NanoStreet subscription software plans purchased directly from NanoStreet.
The Lifetime Discount does not apply to:
NanoStreet will identify eligible plans when paid plans become available.
If an eligible plan is renamed, restructured, replaced, or discontinued, NanoStreet may apply the discount to a reasonably comparable successor consumer plan, if one exists.
18. Discount Ownership and Account Requirements
The Lifetime Discount is personal to the eligible participant.
It will be associated with the same NanoStreet account and verified email address used to participate in the Referral Program.

19. Promotions and Discount Stacking
Unless NanoStreet expressly states otherwise, the Lifetime Discount may not be combined, stacked, or compounded with:
A “Generally Available Public Price” means a price offered broadly to ordinary consumers without requiring participation in another referral, partner, employee, student, loyalty, bundle, purchase, or other conditional program.
If a Generally Available Public Price for the same eligible plan is lower than the participant’s Lifetime-Discount price, the participant will receive the lower applicable price during that promotional period.
The Generally Available Public Price and the Lifetime Discount will not be compounded unless NanoStreet expressly permits stacking.
When the public promotion ends, the Lifetime Discount will again be calculated against the then-current standard recurring subscription price.
20. Pricing and Product Changes
NanoStreet may:

The Lifetime Discount does not prevent NanoStreet from changing the standard price of an eligible plan.
21. Top-Referrer Recognition and Additional Rewards
Participants may continue making Qualifying Referrals after completing the Three-Referral Milestone.
NanoStreet will recognize certain participants as “top referrers” and provide additional rewards, rankings, recognition, access, benefits, or opportunities.
Unless NanoStreet publishes specific rules for an additional reward:
Any separate contest, sweepstakes, leaderboard, or prize promotion may be governed by additional official rules.
22. Verification and Fraud Prevention
NanoStreet may conduct reasonable verification before confirming a referral or granting, maintaining, or activating a reward.
Verification may include review of relevant:
NanoStreet is not required to disclose its precise fraud-detection methods, thresholds, models, rules, or signals.
A participant’s refusal or inability to complete reasonable verification may result in a referral or reward being withheld or invalidated.
Verification will be conducted in accordance with NanoStreet’s Privacy Policy and applicable law.
23. Technical Problems and Referral Attribution
NanoStreet does not guarantee uninterrupted or error-free referral tracking.
Referral attribution may be affected by:
Participants should ensure that the referred person uses the assigned referral link and completes signup through the resulting process.
If a participant believes an eligible referral was not recorded, the participant must contact NanoStreet at admin@nanostreet.ai within 30 days after the referred person’s signup.
NanoStreet may request supporting information. NanoStreet will reasonably review timely claims but is not required to recognize a referral if reliable evidence does not establish that:
NanoStreet may correct referral counts or rewards affected by technical, administrative, or data errors.
24. Referral Records
NanoStreet’s systems and records will ordinarily determine:
NanoStreet’s records will control absent clear evidence of a material error.
Referral dashboard information may be provisional and subject to verification, correction, or reconciliation.
25. Masked Email Display and Privacy
To help referrers recognize referral activity, NanoStreet may display a masked version of a referred person’s email address.

NanoStreet may modify, further mask, or discontinue this display for privacy, security, operational, or legal reasons.

26. Communications
By joining the waitlist, participants may receive operational communications concerning:
NanoStreet may also send promotional or referral-nudge emails where legally permitted.
Promotional emails will provide an appropriate opt-out mechanism as required by applicable law. Opting out of marketing messages may not prevent NanoStreet from sending essential transactional, security, verification, or account-administration communications.
Participants are responsible for maintaining an accurate email address and reviewing messages sent by NanoStreet, including spam or promotional folders.
27. Unsubscribing and Account Deletion
Unsubscribing from promotional or referral-related emails does not delete a participant’s NanoStreet waitlist or user account, remove the participant from the waitlist, or automatically cancel otherwise valid referral activity or rewards.
A participant may continue to receive essential transactional, security, verification, account-administration, Early Access, or reward-related communications where permitted by applicable law.
If a participant’s waitlist or user account is deleted, whether at the participant’s verified request or through an authorized NanoStreet administrative process:
Deleting a referrer’s account will not delete the accounts or waitlist registrations of people whom that participant previously referred. Those individuals joined NanoStreet independently and may remain on the waitlist or continue using NanoStreet, subject to the Terms of Use and their own choices.
NanoStreet may remove, anonymize, or otherwise disassociate the deleted referrer’s identifying information from retained referral records. Previously referred users will no longer be displayed to or accessible by the deleted referrer.
If a referred person deletes their own waitlist or user account before all conditions for a referral or reward have been completed, NanoStreet may:
Deletion of a referred person’s account after a reward has been fully earned will not automatically revoke the reward unless:
NanoStreet may use a limited administrative recovery period for an account deleted by an authorized administrator in order to correct accidental deletion. A verified request by an individual to exercise an applicable privacy or data-deletion right may be handled differently and may not be recoverable through the ordinary administrative restoration process.
Following permanent deletion, NanoStreet may retain limited information where reasonably necessary to:
Any retained information will be limited and handled in accordance with NanoStreet’s Privacy Policy and applicable law. NanoStreet will not maintain a separate indefinite operational copy of a deleted participant’s complete account merely to permit future restoration.
28. Reward Suspension, Withholding, and Revocation
NanoStreet may invalidate referrals, adjust counts, withhold rewards, revoke rewards, remove waitlist priority, remove Founding Member status, suspend a discount, suspend access, or terminate participation where NanoStreet reasonably determines that the participant:
NanoStreet will seek to take action reasonably proportionate to the nature and seriousness of the issue.
NanoStreet may suspend a reward while an investigation is pending.
Where appropriate and legally permitted, NanoStreet may recover or reverse benefits obtained through fraud, material error, or ineligibility.
29. Program Changes, Suspension, or Termination
NanoStreet may modify, suspend, or terminate the Referral Program for legal, regulatory, security, fraud-prevention, technical, operational, financial, product, or commercial reasons.
NanoStreet may change prospectively:
Material changes will be communicated through the website, email, the Referral Program interface, or another reasonable method.
Changes will ordinarily apply prospectively.
NanoStreet will not retroactively remove a specifically earned monetary reward merely because it later changes the Referral Program, except where:
Unearned, incomplete, conditional, or prospective benefits may be modified or discontinued before all applicable conditions are satisfied.
30. Review of Referral Decisions
A participant may request review of a decision to invalidate a referral or withhold or revoke a reward.
The request must:
NanoStreet will review the reasonably available information and respond within a reasonable period.
NanoStreet is not required to disclose confidential fraud-prevention, security, proprietary, or third-party information as part of its response.
Following review, NanoStreet’s good-faith determination will be final, subject to any rights that cannot lawfully be excluded.
31. No Cash Value or Transferability
Unless NanoStreet expressly states otherwise, Referral Program benefits:
Participants are responsible for any tax consequences arising from a reward. NanoStreet may request tax information or report rewards where required by law.
32. No Investment or Ownership Rights
Referral Program rewards do not constitute:
Participation in the Referral Program does not create an employment, agency, partnership, franchise, fiduciary, or joint-venture relationship between a participant and NanoStreet.
33. Third-Party Platforms
Social networks, email providers, messaging services, app stores, payment processors, analytics providers, and other third-party platforms are not sponsors or administrators of the Referral Program unless expressly stated otherwise.
NanoStreet is not responsible for:
Participants are responsible for complying with the rules of any platform they use to share a referral.
34. No Warranties
To the maximum extent permitted by law, the Referral Program is provided on an “as is” and “as available” basis.
NanoStreet does not warrant that:
Nothing in these Referral Terms excludes warranties or rights that cannot lawfully be excluded.
35. Limitation of Liability
To the maximum extent permitted by applicable law, NanoStreet and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Referral Program, including loss of opportunity, anticipated savings, goodwill, data, or profits.
To the maximum extent permitted by applicable law, NanoStreet’s total aggregate liability arising out of or relating to the Referral Program will not exceed US$100.
These limitations do not apply to liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, or any other category that applicable law does not permit NanoStreet to exclude or limit.
Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to every participant.
36. Informal Dispute Resolution
Before filing a formal claim relating to the Referral Program, the participant and NanoStreet agree to make a reasonable good-faith effort to resolve the matter informally.

NanoStreet will have 30 days after receiving a sufficiently detailed notice to review and respond.
Either party may seek urgent injunctive or protective relief where reasonably necessary to prevent immediate harm, fraud, misuse, or a security threat.
37. Governing Law
These Referral Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
However, this choice of law does not deprive a consumer of mandatory protections available under the laws of the jurisdiction in which the consumer resides.
A dispute that is not resolved informally may be brought in a court of competent jurisdiction.
These Referral Terms do not currently require mandatory arbitration and do not waive rights that cannot legally be waived.
38. Severability
If any provision of these Referral Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or modified to the minimum extent necessary to make it enforceable.
The remaining provisions will remain in effect.
39. No Waiver
NanoStreet’s delay or failure to enforce a provision does not waive its right to enforce that provision later.
A waiver in one instance does not constitute a waiver in another instance.
40. Assignment
Participants may not assign or transfer their rights or obligations under these Referral Terms.
NanoStreet may assign these Referral Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Referral Program or relevant business, subject to applicable law.
41. Entire Agreement
These Referral Terms, together with the Terms of Use, Privacy Policy, and any additional reward-specific terms presented by NanoStreet, constitute the agreement governing the Referral Program.
Statements by third parties or participants do not modify NanoStreet’s official Referral Program rules.
